TERMS AND CONDITIONS
Below are the terms and conditions governing access and/or use of peer ride services.
Peer ride is a product and trademark of tiye design studio.
By "we", "our" or "us", we refer to tiye design studio.
By "you", "your", "user", "users", "car owner", "car owners", "car rider" or "car riders", we refer to the user of this service.
By "this service", "peer ride" or "peer ride services", we refer to the product peer ride, the website peerride.com.ng, the peer ride mobile app and any of the services offered on it.
By "car riders" or "car rider", we refer to every individual who registered with us as a car rider and who receives rides from car owner or car owners registered with us. By "ride fee" or "ride fees", we refer to payment or payments made by a car rider to us for a booked ride or rides.
By signing up to peer ride, you conclusively agree to be bound by the terms and conditions contained in this agreement, on the website peerride.com.ng and by any modifications made to this agreement hereafter.
You agree to review this agreement from time to time and to be aware of such modifications. Your access or use of this service at any given time shall be deemed your unconditional acceptance of the modified agreement.
If you do not wish to be bound by these terms and conditions, you should not access or use this service.
You hereby attest that the information provided by you during registration for this service and use of this service is correct.
By signing up (that is, registering) for this service, you irrevocably accept appropriate penalties in the event of abuse of this service and other consequent actions done by you.
Peer ride is strictly for legally licensed, duly registered and verified car owners and duly registered and verified car riders and shall not be used by any person or entity who is not so described by us. Any use otherwise is an abuse.
MODALITIES OF PAYMENTS
We offer you a conditional and revocable access (also called "account") to use peer ride services as a paid work ride service. Any use otherwise is an abuse.
Every weekend, car riders who intend to receive rides for the coming week shall book and pay before being matched with an available car owner. We strive to find you a perfect match who lives and works in the same locations as the car riders. However, should this fail because of demand-supply mismatch, you hereby absolve us from any liability. It should be noted that any ride not matched shall leave the rider's account with us intact. In other words, ride fares are deducted on a pay-as-you-ride basis. To that effect, your virtual account (v-account) with us lodges your balance on a daily basis and can be carried forward into subsequent week or weeks if not used up. If you have any complaint about your week-end account balance, you hereby agree to notify us. As a car rider, in order to help us credit car owners in realtime, you hereby agree to confirm rides received at the end of the given ride. Car owners are also strongly expected to confirm rides. Only a ride confirmed by a car owner and not denied or declined by a rider shall be paid for. Complaint about a received shall not make the payment to the car owner to be forfeited. However, appropriate measures will be taken concerning the received complaint. To make complaint, use the complaint form available on the member's area of the peerride.com.ng website or peer ride mobile app. You can also call us or send us an email if you do not receive a response from us. As a car rider, you agree to use the online payment means provided with this service to pay for rides and shall not avoid or evade payment through whatsoever means. You hereby undertake that payment for ride or rides shall not be falsified.
Falsification of payment includes paying for less than you are billed for a book ride or rides, and/or paying nothing at all and yet obtaining a ride. You agree to be liable in the event of any falsification of payment.
As a car owner, you shall not directly receive money in cash or kind from any car rider or car rider in exchange for a ride service booked for and/or delivered using this service. You shall not connive with any car rider or a group of car riders to avoid paying for rides through us. This said action is taken seriously and you hereby agree it shall be viewed as an infringement of our copyright, subversion of business and a breach of our contract with you and hereby accept any penalty or set of penalties we deem appopriate in addition to the laws and statues of the country, nigeria.
Payment to car owners is automated and effected at the end of the work week in fulfilment of the contract to offer rides for a given week. We strive to make it instant. However, it depends on the payment gateway(s) which is/are third parties.
hence, we disclaim any liability or warranty in the event of delay in payment. However, we will ensure payment in such a case.
RIDE INFORMATION
Once matched for the week, you shall see within your profile page on the website or mobile app, the first name, profile photo and tag number of the rider or car owner you will be riding with for the given week. These information are solely provided for cross-identification. You hereby grant us the right to share these information with the riders or car owners you are matched with for any given week. Beyond this, access to other information of any other user or users other than yours is considered identity theft and infringement of the privacy of others. Ignorance is not tenable. Hence, you hereby agree not to access any such privileged information by whatsoever means and also agree to report unintentional access of such immediately. You hereby agree to only accept a ride or give access to a rider on the condition that the first name, profile photo and tag number of the matched, expected rider, riders or car owner tallies with the information you have been provided with for the given week. Any waiver or ommission of any of these requirements by you is a security breach and you may be held liable for such an action. We hereby disclaim any liability or warranty from such oversight, waiver or omission be it intentional or unintentional. It is your right to decline to offer a ride or decline to accept a ride should any of the information be missing or found discrepant. For the security of the service, you hereby agree to report such a discrepancy of information to us.
DELAY OR CANCELLATION
You have the right to decline a ride but not without adequate notice of 6 hours before the given ride. Any notification of cancellation or delay not done earlier than six (6) hours before a given ride attracts a non-refundable fee which shall be deducted from the payment made for the ride. The non-refundable fee is hundred naira (100) naira which shall be given to the party delayed or whose ride match is cancelled, only in the event we could not find the affected party a substitute match within the given time. In the event that salvage the situation by a ride substitution or other forms of makeup ride, we use the non-refundable penalty as administrative cost in handling the inconvenience caused by the delay or cancellation. You hereby agree to abide by the rule governing notification of delay or cancellation and to accept the herein statement fines should you not be able to make the notification within the stated time/interval. We hereby disclaim liability and warranty in the event of delay or cancellation with or without notice by any car rider or car owner registered in this service. However, we will ensure the enforcement of this agreement on the party in question.
AUTHENTICITY OF REGISTRATION INFORMATION
Your account with us is not transferable and cannot be used to access this service for any person whosoever.
You undertake not to state a false home or work location, home or work address, workplace/organisation or any other information provided by you.
By signing up (that is, registering for this service), you absolutely, unconditionally and irrevocably discharge us from all liabilities, claims and damages arising from your use and/or abuse of this service.
We hold information on this service private but we may be mandated by law to disclose your information and/or information on your use of this service.
1. THE SERVICE
We provide PEER RIDE as a platform for car owners and car riders who are willing to exchange rides for payment. Rides shall be booked only on the website peerride.com.ng or through the peer ride mobile app. Payments for booked rides shall only be through the online payment means available on the profile page of the service. To facilitate this service, we provide auto-generated SMS and third-party secured and delivered payment to our users. We may terminate, change, suspend or discontinue any of the services offered at any time without a prior notice.
2. USER ACCOUNT
At registration, you agree to provide true and accurate information and to keep the information true and accurate at all times. You also undertake to safely store your log in details and hold activities done on this service private. Any activity done on this service with your account shall be deemed as performed by you. We do not assume any liability for content of messages sent and shall be exempt from any claim that may arise from you or any third party as a result of activity done on this service.
You are fully responsible for any charges and liabilities incurred through the use of this service.
You hold the absolute and unrevocable to accept or decline the application of any individual whosoever to this service without any obligation to state the reason or reasons.
We reserve the right to temporarily or permanently deactivate your account on this service without the need of a prior notice. You agree to immediately notify us on any actual or possible unauthorized use of your account on this service including but not limited to, the event of theft or misplacement of your mobile device, personal computer or any similar device whereon your account is currently accessed or technically, in active session or in the event of theft or misplacement of the uniquely tagged identification card given to you upon successful registration to this service.
Before final admittance to use this service, we shall conduct due diligence to ascertain the authenticity of the information you provide to us during your registration for this service. You hereby grant us the right to do every background check we consider appropriate including but not limited to, online and mobile verification of the information provided to us.
You hereby agree that we reserve the right to decline your admission into this service should any of the information be found inconsistent and/or in the event of discovery of past misconduct done by you.
3. RIDE FEES
We charge a variable non-refundable fee for every offered ride. All ride fees will be exclusive of value added tax ("VAT"), sales or other taxes, except as required by law.
4. CHANGES IN FEES AND/OR CHARGES
We reserve the right to change charges, fees and rates. By continual access or use of this service, you agree to and hereby accept any changes in charges, fees and/or rates for this service.
5. REFUND OF FEES AND/OR CHARGES
We shall not refund any transaction done on this service for whatever reasons. To enable accurate transactions, we have incorporated rates contained herein into our automated payment. The rates are however subject to change and you agree to review them from time to time. We disclaim any liability for change in prices, fees and/or charges that may arise at any time. Moreover, to be sure of the current rates or ride fees, you are advised to review current rates or fees before you initiate and/or commit any transaction.
6. OPERATION MODE: BOOKING, CHARGES, RATES AND PAYMENT
By ride fee, we mean the fee charged to a rider for a booked ride or rides.
Online payment is required in all cases with no exception.
You hereby agree to transfer to us all copyrights and other rights on the photos you upload to our website peerride.com.ng. You also grant us the right to share such and other information you provide to us with car owners and car riders that need them for the purpose of fulfilling or obtaining a ride.
The operational mode in this section is subject to change at any time and we disclaim any liability arising from such change(s).
7. LAWS, REGULATIONS, RIGHTS AND PRIVILEGES
You must comply with all applicable laws and regulations, local, state, national and international, in using this service. Although not exhaustive, the following are outright abuse of this service and applicable laws and regulations.
(a) Impersonation or harassment of any person.
(b) Sending of any potentially false, abusive, libelous, misleading, threatening, sexual, fraudulent, racist, discriminatory or obscene information that infringes on the right on any person.
(c) Violation of any person’s rights of privacy or publicity or interception of any information not intended for you.
(d) Any use of any viruses or other harmful computer code on this service, of any nature or kind, intentional or unintentional.
(e) Any use of this service that violates any law, regulation, statue or ordinance or any infringement of any copyright, trademark, patent, trade secret, or other proprietary rights of any party.
YOU IRREVOCABLY AND UNCONDITIONALLY AGREE THAT WE RESERVE THE RIGHT TO TERMINATE YOUR ACCOUNT IN THE EVENT OF ANY OF THESE OR ANY BREACH OF ANY OF THE TERMS AND CONDITIONS CONTAINED IN THIS AGREEMENT, ON THE WEBSITE PEERRIDE.COM.NG AND ANY MODIFICATIONS MADE TO THEM HEREAFTER. YOU MAY ALSO TERMINATE YOUR ACCOUNT FOR ANY REASON OR NO REASON.
After a successful registration, you may receive newsletters, updates, advertisements, promotions or similar messages on your mobile phone, personal computer or other similar device from us. You may discontinue receiving such information by sending us an email at info@peerride.com.ng
8. LIMITATIONS ON LIABILITY, WARRANTIES AND DISCLAIMERS
You hereby agree to and absolve us from any liability for any damage of any nature, direct or indirect, consequential or unrelated, incidental, special or exemplary from your use of this service. To mention a few, loss of data, loss of profits, business interruption, harm to goodwill and other intangible losses regardless of a prior warning of such a damage from you. Any use of this service with your account is deemed your use of this service. We are exempt from any damage caused by your use of this service. Your inability to use this service also comes under these possible damages. So also are the activities of third parties involved in the delivery of this service.
YOU UNDERTAKE THAT WE SHALL NOT IN ANY EVENT BE LIABLE TO YOU OR ANYONE ELSE FOR YOUR USE OF THIS SERVICE.
YOU AGREE THAT YOU IRREVOCABLY ACCEPT ANY ERROR, INACCURACY OR OMISSION IN, OR INJURY, LOSS OR DAMAGE CAUSED IN WHOLE OR IN PART BY DELAYS, INTERRUPTIONS OR FAILURES OF THIS SERVICE.
We hereby disclaim all warranties of any kind, whether express, implied, or statutory, regarding this service, including any implied merchantability, warranty of title, fitness for a particular purpose or non-infringement and the security of the data transmission between us and you including those of payment, account login and account use and sharing of information on this service.
You acknowledge that this service is provided on an "as is" and "as available" basis. You therefore agree that we may not meet your needs, expectations or requirements. Expressly, any information obtained or provided through use of this service is at your own discretion and risk. Therefore, you agree to be solely responsible for any consequence of your use and any damage arising from such, including damage to your mobile phone, personal computer or any similar device or loss of data. You also undertake that this service may be interrupted, untimely, insecure or error-prone. As a result, we make no warranty for the timeliness, security, safety, accuracy or reliability of any information obtained through this service. Neither do we make warranty that any error or deficiency in this service will be corrected.
9. RELEASE AND INDEMNIFICATION
You hereby absolutely release us (and our directors, subsidiaries and employees) from claims, demands and damages (actual and consequential) of every kind and nature, should you have a dispute with one or more users of this service. You agree that any verbal or physical action between you and any user(s) that amount to violence or abuse of rights will not be mediated by us and thus will be left for the laws and regulations of the country of your residence to govern. You hereby waive any rights under any international, national, state or local law limiting the extent of such release.
You hereby agree to defend, indemnify and hold us and all our director, subsidiaries, attorneys and employees harmless from and against any claim or demand, without exception to reasonable attorneys' fees, made by any third party due to or arising out of your violation of any law or the rights of a third party, the content you submit or transmit through your use of this service or from your breach of this agreement.
10. PRIVACY
You expressly grant us a non-exclusive, perpetual , irrevocable, royalty-free, worldwide, sub licensable (through multiple tiers) right to exercise the copyright and publicity rights you have for all the information you provide to us and those generated by your use of this service.
You hereby grant us the right to store and retrieve your personal preferences and other information generated by your use of this service through your submission, search, post, communication and through the use of cookies on the website peerride.com.ng. You hereby agree to our cookie policy.
We may not be able to restrict access by a specific user to your information as some of the information on this service are available to any user or users you are matched with. If at any time, you deserve to limit access to the information you provide on this service, you are advised to deactivate your account. We therefore disclaim warranty and liability for access of your information by any other user of this service and/or any activity done with such information by him or her, including any unauthorized use which shall be deemed use by the holder of the account.
We protect your privacy but may be mandated by law to disclose the information provided by you during the use of this service.
11. INTELLECTUAL PROPERTY RIGHTS
You agree not to violate the intellectual property rights of Tiye Design Studio or any third party. These include copyrights, trademarks, patents, service marks, or other proprietary rights included in this service.
12. GOVERNING LAW AND ARBITRATION
The laws of your country of residence shall govern all matters relating to this agreement and your use of this service but with exclusion to our operational mode, disclaimers and the release from warranties and liabilities you have just granted to us by agreeing to the terms and conditions contained herein.
